TBG HUMAN RIGHTS GUIDELINES POLICY

This Policy set standards for TBG conduct and performance regarding respect for Human Rights in all regions where the company is present and throughout the life cycle of corporate projects and operations.

COMPLIANCE POLICY

COMMUNICATION POLICY

Presents the company's commitments; general and specific guidelines; and defines the duties and responsibilities in its communication with the various stakeholders.

Approved by the TBG Board of Directors - Minutes nº 336, Agenda nº 62/21, on May 26, 2021.

 

TBG THIRD PARTIES TRANSACTIONS POLICY

This text establishes the principles that guide TBG and its workforce in entering into transactions with third parties and in situations where there is a potential conflict of interest in these operations. In line with the transparency policy, in the processes and best practices of Corporate Governance, TBG seeks to ensure an adequate and diligent decision-making process by all its directors, officers, managers, employees and collaborators.

Reviewed annually by the TBG Board of Directors; the last review took place on May 31st, in 2023, in compliance with Law 13,303/2016.

 

TBG BUSINESS RISK MANAGEMENT POLICY

Establishes principles and guidelines that must be observed in the TBG Business Risk Management process. Among the key principles, we include  respect for life; alignment to company strategies and our commitment to ethics and compliance.

DIVIDEND POLICY

Sets out the procedures for the distribution of TBG dividends or interest on capital and is aimed at preserving the company's financial health.

Approved by the Supervisory Board, Minutes nº 276ª, Agenda nº 62/18 of July 19, 2018 

 

POLICY FOR THE DISCLOSURE OF INFORMATION IN THE SCOPE OF TBG ACTIONS

Provides for the guidelines for the disclosure and use of information, within the scope of TBG actions and sphere of influence in compliance with all principles of transparency, integrity, equity of information, accountability and corporate responsibility.

CORPORATE SAFETY, ENVIRONMENT AND HEALTH POLICY AND GUIDELINES

Approved by the TBG Board of Directors, Agenda - 76/17, on October 26, 2017.

 

HUMAN RESOURCES POLICY

Policy approved by the TBG Board of Directors, Agenda - 70/17, on October 3, 2017.

 

SHAREHOLDING POLICY (MINORITY)

For compliance with the article 9º of Decree nº 8945/16, TBG informs that it does not hold stakes in other companies, and there is no statutory provision for this, which is why it does not have a policy/guideline for managing minority stakes.
